Contracts + e-Sign · the platform layer

A contract isn’t a file.
It’s a live control that fires across every stage.

Vakari ingests contracts on any paper, extracts every term, and makes the document work — pricing the request in procurement, checking the invoice in AP, and drafting the accrual at close. Native e-signature binds every obligation on the same connected record. Your ERP is the system of record. Vakari is the system of connection.

What Contracts + e-Sign does

Capture → Organise → Understand → Govern → Act → Prove.

Eight capabilities, one arc: from a filed document to a live control.

01

Ingest

Any paper, any format — counterparty templates, your own MSAs, scanned PDFs. No house template required.

02

Repository & version control

Every agreement catalogued, tagged, and version-controlled. An amendment is a new version of the same record.

03

Term-level search

Extraction turns clauses into structured data — search by what a contract says, not just keywords.

Every contract with CPI > 5% expiring in 90 days→ 4 agreements found · earliest: Apr 28

04

Review & approve

Agreements route for review with SoD enforced structurally. A preparer cannot approve their own work. Every decision is logged.

05

Automated actions

Renewal monitoring drafts the notice before the window closes — not an alert, a draft that routes for approval.

!Datadog MSA · 30-day notice due Apr 1 · renewal notice drafted

06

Contract transformation

Terms become downstream artifacts: an ASC 842 lease memo, a journal entry accrual, an invoice-validation rule. The document becomes the accounting.

Lease JE drafted · ASC 842 memo ready · sourced to §4.1

07

Analytics

Portfolio-level insight — exposure by vendor, upcoming renewals, obligations, spend under contract. Because the terms are data, not PDFs.

08

Embedded e-Sign

Native, identity-bound signing. Every signature cryptographically tied to a verified identity. Supports vendor contracts, NDAs, and internal control attestations.

What Vakari does not do

Contracts + e-Sign does not author, redline, or negotiate contracts. Vakari operationalises agreements — ingesting, extracting, and activating terms — on whatever paper the parties produce.

The platform layer

The same executed agreement works three times.

The important terms fire: they trigger a downstream financial event in another application. One contract, the whole connected record.

01 Procurement

It drafts the request.

Before a PR is submitted, the contract surfaces its own terms — price, renewal window, approval chain. The requester types one sentence; Vakari fills in the rest.

Unit pricePrices the request → PR value auto-populated
Notice windowFires the renewal agent before the lock-in
02 Accounts Payable

It checks the invoice.

The clause validates the invoice unit price in real time — a fourth match, against the contract, that no competitor runs. An overbill is caught before payment staging.

Payment termsSets the invoice due date
!Acme INV-1022 · $3,400 variance vs MSA §4.2 · held before payment
03 The Close

It drafts the entry.

Volume tiers and CPI escalators fire the accrual, drafted months earlier from the same terms. By close, the entry already exists — traceable to the source clause.

Why contracts can’t be a bolt-on

SAP Ariba partnered with Icertis for CLM rather than build it — because CLM cannot be built credibly on a procurement data model. Vakari can, because everything runs on one connected record. The contract fires into procurement, AP, and the close because it sits under all three, not beside one of them.

Native e-signature

Signing happens inside Vakari — on the record, not beside it.

Native signing keeps the executed agreement attached to the same record that becomes the PO, the invoice match, and the posted entry.

Identity-bound

Every signature cryptographically tied to a verified identity — provably the signer’s, independently verifiable.

On the connected record

The executed agreement stays on the same record that becomes the PO, the invoice match, and the posted entry. No reconnection step.

Vendor contracts & NDAs

One-sided and mutual agreements, vendor contracts, and master service agreements — any obligation that needs a signature.

Certifications & attestations

Internal control sign-offs, SOX attestations, and audit certifications — identity-bound, on the same audit trail.
